Beneficial ownership

The count of securities a person can vote or dispose of, which is not the same as the number registered in their name.

Beneficial ownership is a control concept. It includes shares held through trusts, partnerships and family members, and it includes securities the person could acquire within a short defined window by exercising options or converting another instrument.

Because of that last part, two beneficial ownership figures for the same person on the same day can legitimately differ if they were prepared under different rules for different forms. The number is only meaningful together with the form it came from.

A person can also disclaim beneficial ownership of shares that are attributed to them — for instance shares held by a fund they advise. The disclaimer is part of the filing and is worth reading before treating the number as personal wealth.
